Course objectives
The subject is connected with the course Law in previous semester. The aim of it is to provide global overview in basic legal terms in commercial law, governed by Commercial Code and The Trades Licensing Act with focusing on legal regulation of conditions and forms of business activities of particular legal subjects in CR, especially foundation and dissolution of a company, observing their characteristic features. Besides this, the aim of the course is to provide basic knowledge of law of commercial obligation, their creation, change and termination by using them in practise.

  • 1. Introduction to the commercial law, its legal sources, position and force.
    2. Basic characteristic of business activities, subjects of commercial law, register of companies and trade register
    3. Individual business activities
    4. Joint adventure, legal regulation of business companies, personal companies
    5. Limited partnership, Joint-stock company
    6. Other business subjects
    7. Trade relations of obligation
    8. Rise, change and extinction of relations of an obligation., time as an important evant
    9. Liability in obligations
    10. Sale of goods, contract for work
    11. Chosen types of commercial treaties
    12. A procedural dispute resolution in business activities, insolvency proceedings
    13. Discretionary remedies
