- Course objectives
- The course builds on the knowledge acquired in the course Law. The aim of the course is to provide a comprehensive overview of the basic institutes of commercial law regulated by the relevant legal regulations (especially the Civil Code, the Act on Business Corporations and the Trade Licensing Act) with an emphasis on the legal regulation of the conditions and forms of business of individual entities in the Czech Republic (natural and legal persons), in particular on the issue of the establishment and dissolution of commercial companies, monitoring the characteristic features of individual business entities and the signs by which they differ from each other. Furthermore, the aim of the course is to familiarize students with and explain to them the substantive legal issues of the establishment, change and dissolution of contractual relationships with the intention of equipping students with knowledge for specific processing of contracts and acquiring practical skills in resolving legal proceedings arising from commercial contractual relationships. The aim of the course is also to provide a general overview of the resolution of disputes arising from commercial relationships, including insolvency proceedings.
- Learning outcomes
- The student can explain the basic characteristics of commercial law, especially the concept of commercial law, its sources and principles, and is also able to describe the classification of commercial law in the legal system of the Czech Republic and explain its relationship to other legal branches. The student can define the public law aspects of entrepreneurship, especially in the area of trade law and the commercial register. He can also analyze and apply the basic concepts of private law in the area of entrepreneurship, he can characterize individual legal forms of entrepreneurship with special emphasis on business corporations, their establishment, operation and dissolution. In this context, he is able to define and describe individual types of business companies, including distinguishing the specifics of individual business companies. The student can describe and apply the law of contractual obligations and its basic institutions, including the process of concluding contracts, he is also able to distinguish and use individual contractual types used in commercial law, and he is also able to analyze and apply the specifics of consumer contracts and consumer legal protection. The student can explain obligations arising from torts, namely liability for damage and its compensation. Furthermore, the student can define unfair competition and its forms, including the protection of economic competition. The student can also characterize the dispute resolution system, including judicial, arbitration and insolvency proceedings.
- Syllabus
- 1) Basic characteristics of commercial law. The concept and sources of commercial law, its inclusion in the legal system of the Czech Republic, relationship to other legal branches, principles of commercial law.2) Basic concepts of entrepreneurship in private law. Principles of private law, natural persons, legal persons, legal acts, entrepreneurship, entrepreneur, business firm, registered office, plant, power of attorney.3) Public law aspects of entrepreneurship. Regulation of entrepreneurship in the Czech Republic, conditions of entrepreneurial activity according to the Trade Licensing Act, commercial register.4) Commercial corporations. Establishment and formation of a commercial corporation, dissolution and dissolution of a commercial corporation, types of commercial corporations.5) Commercial obligations. Contractual obligations law (general provisions of contract law, creation, amendment, security and termination of obligations, typical contracts used in trade (especially purchase contracts, contracts for work, contracts of command type)), consumer protection (consumer, consumer contracts), obligations from torts (liability for damage).6) Abuse and restriction of competition. Unfair competition, protection of economic competition.7) Resolution of disputes arising from business relations. Court proceedings, arbitration proceedings, enforcement of decisions (execution), insolvency, out-of-court resolution of consumer disputes (ADR).
