Course objectives
The aim of the course is to gain a basic overview of the legal aspects of entrepreneurship and the ability to apply them in specific situations in practice. The student will gain an overview of the legal order of the Czech Republic, its constitutional and public law aspects and, in particular, the legal basis of entrepreneurial activities from founding a company, establishing commercial legal relations, resolving disputes to the termination of their entrepreneurial activity.
Learning outcomes
The student is able to define the basic principles and concepts of the legal order of the Czech Republic, including its systematics and sources of law; he/she is also able to characterize the constitutional order of the Czech Republic with a focus on the separation of powers and fundamental rights and freedoms. The student is able to explain the essence of legal relations and legal facts. The student is able to define the public law aspects of entrepreneurship, especially in the area of ​​trade law and the commercial register. The student is able to analyze and apply the basic concepts of private law in the area of ​​entrepreneurship, is able to characterize individual legal forms of entrepreneurship with special emphasis on business corporations, their establishment, operation and dissolution. In this context, he/she is able to define and describe individual types of business companies, including distinguishing the specifics of individual business companies. The student is familiar with the law of contractual obligations and its basic institutions, including the process of concluding contracts and individual contract types, is able to assess the specifics of consumer contracts and consumer legal protection. The student is able to explain obligations arising from torts, namely liability for damage and its compensation. Furthermore, they can define unfair competition and its forms. The student can characterize the dispute resolution system, including judicial, arbitration and insolvency proceedings. They are also familiar with other selected legal institutes such as personal data protection, public procurement and criminal liability of legal entities.
Syllabus
1. Legal system of the Czech Republic The concept of law, sources of law, legal norm, legal relations, legal system, constitutional order. 
2. Public law aspects of entrepreneurship Regulation of entrepreneurship in the Czech Republic, conditions of entrepreneurial activity according to the Trade Licensing Act. 
3. Basic concepts of entrepreneurship in private law Principles of private law, natural persons, legal persons, legal acts, entrepreneurship, entrepreneur, business firm, registered office, plant, power of attorney. 
4. Business corporations Foundation and formation of a business corporation, dissolution and dissolution of a business corporation, types of business corporations. 
5. Law of obligations Contractual obligations law (general provisions of contract law, formation, amendment, security and termination of obligations, typical contracts used in trade (especially purchase contracts, contracts for work, contracts of command type)), consumer protection (consumer, consumer contracts, out-of-court settlement of consumer disputes (ADR)), obligations from torts (liability for damage). 
6. Abuse and restriction of competition Unfair competition, protection of economic competition. 
7. Dispute resolution Court proceedings, arbitration proceedings, enforcement of decisions (execution), insolvency. 
8. Other selected legal institutes Personal data protection, public procurement, criminal liability of legal entities.

Teaching methods
Lecture: mass teaching organized frontally, seminars: group teaching, cooperative and collaborative learning, teaching using case studies, group discussion and group problem solving method, work with text.
Assessment methods
written midterm test (40%), written exam - the first part consists of theory, the second part consists of solving a case study (60%)
